1. Introduction

Welcome to VaidyaPlus, a cloud-based healthcare practice management platform owned and operated by VAIDYA PLUS (OPC) PRIVATE LIMITED (“VaidyaPlus“, “we“, “our“, or “us“).

These Terms & Conditions (“Terms“) govern your access to and use of our website, web application, mobile applications, APIs, and all related software, products, and services (collectively, the “Services“).

By creating an account, subscribing to the Services, accessing, or otherwise using VaidyaPlus, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein.

If you do not agree to these Terms, you must not access or use the Services.


2. Definitions

For the purposes of these Terms:

“Account” means a registered user account created to access the Services.

“Customer” means the clinic, hospital, healthcare organization, doctor, therapist, or other healthcare provider that subscribes to the Services.

“Authorized User” means an individual who has been granted permission by the Customer to access the Services.

“Patient Information” means any personal, medical, health, appointment, billing, prescription, therapy, or related information entered into the Services by or on behalf of a healthcare provider.

“Customer Data” means all information uploaded, entered, generated, or stored by the Customer while using the Services.

“Services” means all software, websites, mobile applications, APIs, features, modules, updates, and related services provided by VaidyaPlus.


3. About VaidyaPlus

VaidyaPlus is a Software-as-a-Service (SaaS) platform designed to help healthcare providers digitally manage their clinical and administrative operations.

Depending on the subscribed plan, the Services may include:

  • Patient Management
  • Appointment Scheduling
  • Therapy Management
  • Electronic Medical Records
  • Prescription Management
  • Billing and Invoicing
  • Inventory Management
  • Pharmacy Management
  • Multi-Clinic Management
  • Multi-Doctor Support
  • Reporting and Analytics
  • Mobile Applications
  • Other healthcare practice management features introduced from time to time

VaidyaPlus provides software services only.

VaidyaPlus is not:

  • a hospital;
  • a clinic;
  • a pharmacy;
  • a diagnostic laboratory;
  • an insurance provider;
  • a medical practitioner;
  • or a healthcare provider.

The Services are intended solely to assist healthcare providers in managing their practice and are not intended to replace professional medical judgment or applicable legal obligations.


4. Eligibility

You may use the Services only if:

  • You are at least eighteen (18) years of age.
  • You have the legal capacity to enter into a binding agreement.
  • You are authorized to act on behalf of the subscribing healthcare organization where applicable.
  • Your use of the Services complies with all applicable laws and regulations.

If you create an account on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.


5. User Accounts

Access to certain features of the Services requires the creation of an Account.

You agree to:

  • provide accurate, current, and complete information;
  • keep your account information updated;
  • maintain the confidentiality of your login credentials;
  • promptly notify VaidyaPlus of any unauthorized use of your account;
  • ensure that only authorized individuals access your account.

Each user account is intended for use only by the individual user to whom it has been assigned unless otherwise permitted under the applicable subscription plan.

Healthcare providers are responsible for ensuring that user accounts are assigned only to authorized personnel and that access is promptly revoked when personnel leave the organization or no longer require access.

You remain responsible for all activities performed using your account.


6. Subscription Plans

Certain features of the Services are available only through paid subscription plans.

Subscription plans may include:

  • Monthly subscriptions
  • Annual subscriptions
  • Trial subscriptions
  • Promotional subscriptions
  • Enterprise agreements
  • Custom subscription plans

Subscription features and pricing may differ depending on the selected plan.

VaidyaPlus reserves the right to introduce, modify, discontinue, or replace subscription plans from time to time.

Changes in pricing shall not affect an active subscription period already paid for by the Customer unless otherwise agreed.


7. Payments

Subscription fees shall be paid in accordance with the selected subscription plan.

Payments may be processed through authorized third-party payment providers, including PhonePe, or other payment methods made available by VaidyaPlus.

Applicable taxes, including Goods and Services Tax (GST), shall be charged where required under applicable law.

VaidyaPlus does not store complete debit card numbers, credit card numbers, internet banking credentials, or UPI PINs.

Failure to make timely payment may result in suspension or termination of access to paid features until outstanding amounts have been settled.


8. Free Trials

From time to time, VaidyaPlus may offer trial access to certain features of the Services.

Unless otherwise specified:

  • Trial periods are temporary.
  • Trial features may differ from paid plans.
  • Trial access may be modified or discontinued without prior notice.
  • Trial accounts may be converted to paid subscriptions upon expiry if the Customer chooses to subscribe.

VaidyaPlus reserves the right to determine eligibility for any trial offering.


9. Refund and Cancellation

Unless otherwise required by applicable law or expressly agreed in writing:

  • Subscription fees are non-refundable once the subscription has commenced.
  • Partial refunds are not provided for unused subscription periods.
  • Downgrading or cancellation during an active billing period does not entitle the Customer to a refund.
  • Approved refunds, where applicable, shall be processed through the original payment method whenever reasonably practicable.

Customers may discontinue renewal of their subscription at any time. Cancellation will take effect at the end of the current subscription period unless otherwise specified.

10. Healthcare Provider Responsibilities

Healthcare providers using the Services acknowledge and agree that they are solely responsible for the healthcare services they provide to their patients.

Without limitation, healthcare providers are responsible for:

  • Collecting patient information in accordance with applicable laws.
  • Obtaining any patient consent, authorization, or permission required by applicable law before collecting or entering patient information into the Services.
  • Providing any privacy notices required under applicable law.
  • Maintaining accurate, complete, and up-to-date patient records.
  • Ensuring that prescriptions, diagnoses, treatment plans, therapy records, and medical advice are prepared by appropriately qualified professionals.
  • Maintaining professional records in accordance with applicable legal and professional standards.
  • Ensuring that only authorized personnel access patient information.
  • Complying with all healthcare, medical, taxation, and regulatory requirements applicable to their practice.

VaidyaPlus provides software tools only and is not responsible for medical decisions, patient treatment, clinical advice, prescriptions, or healthcare outcomes.


11. Patient Data

Healthcare providers retain ownership and control of all patient information entered into the Services.

VaidyaPlus processes, stores, secures, transmits, and backs up such information solely for the purpose of providing the Services.

VaidyaPlus does not claim ownership over patient medical records.

Patient information will not be used by VaidyaPlus for advertising, marketing, profiling, or training publicly available artificial intelligence models unless expressly authorized by the healthcare provider or otherwise permitted by applicable law.

Healthcare providers remain responsible for ensuring that they possess the lawful authority to collect and process patient information.


12. Customer Data

Except as expressly provided in these Terms, Customers retain ownership of all Customer Data uploaded or generated through the Services.

By using the Services, Customers grant VaidyaPlus a limited, non-exclusive right to:

  • host Customer Data;
  • process Customer Data;
  • transmit Customer Data;
  • create encrypted backups;
  • restore Customer Data;
  • provide technical support;
  • maintain and improve the Services.

These rights exist solely for the purpose of delivering the Services and do not transfer ownership of Customer Data to VaidyaPlus.

Except where required by law or expressly authorized by the Customer, VaidyaPlus does not access patient information except where reasonably necessary to:

  • provide technical support;
  • investigate security incidents;
  • maintain system functionality;
  • restore backups;
  • comply with legal obligations.

Access by VaidyaPlus personnel is restricted to authorized personnel who are subject to confidentiality obligations.


13. Acceptable Use

Users agree to use the Services responsibly and only for lawful purposes.

Users shall not:

  • use the Services for any unlawful or fraudulent activity;
  • upload malware, ransomware, viruses, or malicious code;
  • interfere with the security or operation of the Services;
  • attempt unauthorized access to any account, database, or infrastructure;
  • bypass authentication or access controls;
  • impersonate another person or organization;
  • use another person’s account without authorization;
  • use automated scripts, bots, or scraping tools unless expressly authorized;
  • attempt to overload or disrupt the Services;
  • remove copyright notices or proprietary markings;
  • upload content that infringes the intellectual property rights of others;
  • use the Services to develop or support competing software by copying or reverse engineering the platform;
  • knowingly provide false information to VaidyaPlus.

Violation of this section may result in immediate suspension or termination of the Services.


14. Confidentiality of the Platform

The Services contain proprietary software, workflows, user interfaces, documentation, designs, business processes, databases, trade secrets, and other confidential information belonging to VAIDYA PLUS (OPC) PRIVATE LIMITED.

Except where expressly permitted by VaidyaPlus or required by applicable law, users shall not:

  • reproduce, distribute, or commercially exploit any portion of the Services;
  • copy or republish documentation or training materials;
  • publicly disclose confidential implementation details of the Services;
  • publish benchmark results intended to evaluate or compare the Services without prior written consent;
  • remove or alter proprietary notices contained within the Services.

Nothing in this section restricts the creation of screenshots or recordings solely for legitimate internal training, customer support, regulatory compliance, legal obligations, or operational purposes within the subscribing organization, provided that such use does not disclose confidential patient information or infringe the intellectual property rights of VaidyaPlus.


15. Account Security and Authorized Access

Each account is licensed only for use by the subscribing Customer and its authorized personnel.

Users shall not:

  • share passwords with unauthorized individuals;
  • allow persons outside the subscribing organization to access the Services using their account;
  • transfer accounts between unrelated organizations;
  • permit continued access to former employees, contractors, consultants, or interns who are no longer authorized.

Healthcare providers are responsible for maintaining appropriate access controls and promptly disabling accounts that are no longer required.

Customers shall immediately notify VaidyaPlus if they become aware of unauthorized access, credential compromise, or any suspected security incident affecting their account.


16. Intellectual Property

The Services, including all software, source code, object code, databases (excluding Customer Data), user interfaces, designs, documentation, trademarks, logos, graphics, workflows, reports, business methods, and related intellectual property are and shall remain the exclusive property of VAIDYA PLUS (OPC) PRIVATE LIMITED or its licensors.

Nothing contained in these Terms transfers ownership of any intellectual property rights to the Customer.

Subject to these Terms, VaidyaPlus grants Customers a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their internal healthcare practice during the applicable subscription period.

Customers shall not:

  • copy the software except as necessary for normal use;
  • reverse engineer, decompile, disassemble, or attempt to discover the source code;
  • modify or create derivative works;
  • sublicense or commercially distribute the Services;
  • use the Services to build a competing product.

Any feedback, suggestions, recommendations, enhancement requests, or ideas voluntarily provided by users may be used by VaidyaPlus without restriction or obligation to provide compensation.


17. Artificial Intelligence and Data Usage

VaidyaPlus respects the confidentiality of healthcare information.

Unless expressly authorized by the healthcare provider or otherwise permitted by applicable law:

  • Patient medical information will not be used to train publicly available artificial intelligence models.
  • Patient records will not be sold or licensed for advertising purposes.
  • Customer Data will not be shared with third parties for unrelated commercial purposes.

VaidyaPlus may use aggregated, anonymized, or de-identified operational information that does not identify individual patients or Customers for purposes such as:

  • improving software performance;
  • enhancing platform reliability;
  • developing new features;
  • monitoring service quality;
  • generating statistical insights.

Such information will not be used to identify individual patients.

18. Data Security

VaidyaPlus is committed to protecting the confidentiality, integrity, and availability of Customer Data through commercially reasonable administrative, technical, and organizational security measures.

Our security measures may include, where applicable:

  • Encryption of data in transit using HTTPS/TLS.
  • Encryption of sensitive data at rest where appropriate.
  • Role-based access controls.
  • Secure authentication mechanisms.
  • Password hashing using industry-standard algorithms.
  • Security monitoring and logging.
  • Firewalls and network protection.
  • Regular software updates and security patches.
  • Encrypted backups.
  • Access restrictions for authorized personnel.
  • Disaster recovery and business continuity procedures.

Access to Customer Data by VaidyaPlus personnel is limited to authorized individuals who require such access for legitimate business purposes, including technical support, maintenance, security investigations, backup restoration, or legal compliance.

While VaidyaPlus implements reasonable safeguards, no electronic system or method of data transmission over the Internet can be guaranteed to be completely secure. Users acknowledge and accept the inherent risks associated with online services.


19. Availability of Services

VaidyaPlus strives to provide reliable, secure, and continuous access to the Services.

However, uninterrupted or error-free operation cannot be guaranteed.

Temporary interruptions may occur due to:

  • Scheduled maintenance;
  • Emergency maintenance;
  • Software upgrades;
  • Infrastructure upgrades;
  • Internet or telecommunications failures;
  • Hardware failures;
  • Security incidents;
  • Third-party service interruptions;
  • Force majeure events.

Where reasonably practicable, VaidyaPlus will provide advance notice of scheduled maintenance that is expected to materially affect the availability of the Services.

VaidyaPlus shall not be liable for temporary interruptions that are reasonably necessary to maintain, improve, or secure the Services.


20. Data Backup and Recovery

To enhance service reliability, VaidyaPlus performs periodic backups of Customer Data using commercially reasonable practices.

Backups are intended solely for disaster recovery, business continuity, and restoration of the Services.

Although VaidyaPlus maintains backup procedures, Customers are encouraged to maintain copies of important reports, financial records, prescriptions, and other business-critical information where appropriate.

VaidyaPlus does not guarantee that any specific version of Customer Data can always be restored.


21. Data Export

Subject to the applicable subscription plan and technical capabilities of the Services, Customers may export certain Customer Data from the platform.

Exported information may include, where available:

  • Patient records;
  • Appointment data;
  • Billing information;
  • Inventory records;
  • Reports;
  • Other information made available through export features.

Customers are responsible for verifying the accuracy and completeness of exported information before relying upon it outside the Services.

Upon lawful termination of the Services, VaidyaPlus may provide reasonable assistance for data export where technically feasible and subject to applicable subscription terms.


22. Third-Party Services

The Services may integrate with or rely upon third-party products, platforms, infrastructure providers, or payment services.

These may include, but are not limited to:

  • Cloudflare
  • PhonePe
  • Cloud hosting providers
  • SMS gateways
  • Email service providers
  • Messaging platforms
  • Government services
  • Other integrations introduced from time to time

Use of third-party services may be subject to the respective terms, privacy policies, and practices of those providers.

VaidyaPlus is not responsible for the availability, performance, security, or content of third-party services that are outside our reasonable control.


23. Medical Disclaimer

VaidyaPlus is an administrative healthcare practice management software platform.

The Services do not:

  • diagnose diseases;
  • recommend treatments;
  • prescribe medicines;
  • interpret medical reports;
  • replace professional medical judgment;
  • establish a doctor-patient relationship;
  • provide emergency medical services.

Healthcare professionals remain solely responsible for all clinical decisions, diagnoses, prescriptions, treatment plans, therapy recommendations, patient communications, and healthcare outcomes.

Patients should always consult a qualified healthcare professional regarding any medical condition or treatment.


24. Electronic Records

The Services enable healthcare providers to create, maintain, organize, and manage electronic healthcare records.

Healthcare providers remain solely responsible for ensuring that records maintained within the Services are:

  • accurate;
  • complete;
  • lawful;
  • maintained in accordance with applicable legal, regulatory, and professional obligations.

VaidyaPlus does not verify the accuracy or completeness of information entered by users.

Customers are responsible for reviewing information before relying upon it for clinical or administrative purposes.


25. Privacy

Your use of the Services is also governed by the VaidyaPlus Privacy Policy, which explains how personal information is collected, processed, stored, shared, and protected.

By using the Services, you acknowledge that you have read and understood the Privacy Policy.

In the event of any inconsistency between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy shall govern to the extent of such inconsistency.


26. Beta Features

From time to time, VaidyaPlus may make beta, preview, experimental, or early-access features available to selected Customers.

Beta features are provided solely for evaluation purposes.

Unless otherwise stated:

  • Beta features may contain bugs or errors.
  • Features may change without prior notice.
  • Beta features may be discontinued at any time.
  • Beta features may not be supported by service commitments applicable to generally available features.

Customers use beta features at their own discretion.


27. APIs and Integrations

Where application programming interfaces (APIs), developer tools, or software integrations are made available by VaidyaPlus, their use shall be subject to these Terms together with any applicable API documentation or developer guidelines published by VaidyaPlus.

Customers shall not:

  • misuse API credentials;
  • exceed documented usage limits;
  • attempt to compromise platform security through APIs;
  • use APIs for unlawful purposes;
  • interfere with the operation of the Services through automated requests.

VaidyaPlus reserves the right to suspend or revoke API access where misuse, excessive usage, security risks, or violations of these Terms are detected.


28. Product Updates and Modifications

VaidyaPlus continually improves the Services to enhance functionality, performance, security, and user experience.

Accordingly, VaidyaPlus may:

  • introduce new features;
  • modify existing functionality;
  • improve user interfaces;
  • discontinue obsolete features;
  • update subscription plans;
  • enhance security measures;
  • implement regulatory compliance updates.

Where reasonably practicable, Customers will be notified of material changes that significantly affect the use of the Services.

The continued use of the Services following such updates constitutes acceptance of those changes, unless separate acceptance is required by applicable law.

29. Suspension of Services

VaidyaPlus may, at its sole discretion and without liability, temporarily suspend or restrict access to all or part of the Services where reasonably necessary to:

  • protect the security, integrity, or availability of the Services;
  • investigate suspected violations of these Terms;
  • prevent unauthorized access or fraudulent activity;
  • comply with applicable laws, regulations, or lawful requests from governmental authorities;
  • perform emergency maintenance;
  • address security vulnerabilities or technical issues;
  • respond to non-payment of subscription fees.

Where reasonably practicable, VaidyaPlus will provide advance notice of any planned suspension. Immediate suspension may occur where advance notice would compromise security, legal compliance, or the operation of the Services.

Suspension does not relieve the Customer of any outstanding payment obligations.


30. Termination

Customers may discontinue use of the Services at any time by cancelling their subscription in accordance with the applicable subscription plan.

VaidyaPlus may terminate or suspend access to the Services if:

  • these Terms are materially breached;
  • subscription fees remain unpaid beyond the applicable payment period;
  • fraudulent, illegal, or unauthorized activities are detected;
  • continued use presents a security risk to the Services or other users;
  • required by applicable law or regulatory authority;
  • providing the Services becomes commercially impracticable or technically impossible.

Upon termination:

  • the Customer’s right to access the Services will cease;
  • Customer Data may be retained for a limited period in accordance with our Privacy Policy and applicable legal obligations;
  • thereafter, Customer Data may be permanently deleted or anonymized unless retention is required by law;
  • provisions of these Terms that are intended to survive termination shall continue in effect.

Termination does not affect any accrued rights, payment obligations, or liabilities existing prior to termination.


31. Limitation of Liability

To the fullest extent permitted by applicable law, VAIDYA PLUS (OPC) PRIVATE LIMITED, its directors, officers, employees, affiliates, licensors, and service providers shall not be liable for any:

  • medical decisions or treatment provided by healthcare professionals;
  • incorrect, incomplete, or outdated information entered by users;
  • loss resulting from compromised user credentials or unauthorized access caused by Customer negligence;
  • interruption or temporary unavailability of the Services;
  • loss of profits, revenue, business opportunities, goodwill, anticipated savings, or reputation;
  • loss, corruption, or delay of data caused by circumstances beyond our reasonable control;
  • indirect, incidental, consequential, punitive, exemplary, or special damages arising from the use of the Services.

The Services are provided on an “as available” and “as is” basis, except to the extent prohibited by applicable law.

To the maximum extent permitted by law, the total aggregate liability of VAIDYA PLUS (OPC) PRIVATE LIMITED arising out of or relating to the Services or these Terms shall not exceed the total subscription fees actually paid by the Customer to VaidyaPlus during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded under applicable law.


32. Indemnification

The Customer agrees to defend, indemnify, and hold harmless VAIDYA PLUS (OPC) PRIVATE LIMITED, its directors, officers, employees, affiliates, licensors, and service providers from and against any claims, actions, liabilities, damages, losses, costs, expenses, or reasonable legal fees arising out of or relating to:

  • the Customer’s misuse of the Services;
  • violation of these Terms;
  • violation of applicable laws or regulations;
  • infringement of the rights of any third party;
  • the Customer’s collection, processing, or disclosure of patient information;
  • medical advice, diagnosis, treatment, prescriptions, or healthcare services provided by the Customer;
  • negligence, misconduct, or unlawful acts of the Customer or its Authorized Users.

This obligation survives termination of the Services.


33. Force Majeure

VaidyaPlus shall not be liable for any delay, interruption, or failure in performing its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:

  • natural disasters;
  • floods;
  • earthquakes;
  • fire;
  • pandemics;
  • epidemics;
  • war;
  • terrorism;
  • civil unrest;
  • governmental actions;
  • internet failures;
  • telecommunications failures;
  • power outages;
  • cyberattacks;
  • denial-of-service attacks;
  • failures of third-party infrastructure providers.

Performance of affected obligations shall be suspended for the duration of the force majeure event.


34. Changes to the Services

VaidyaPlus continuously improves and enhances the Services.

Accordingly, we may:

  • introduce new features;
  • modify existing functionality;
  • discontinue obsolete features;
  • improve user interfaces;
  • implement security enhancements;
  • introduce new integrations;
  • update subscription plans;
  • modify technical requirements.

Where reasonably practicable, we will provide advance notice of material changes that significantly affect Customers.


35. Changes to these Terms

VaidyaPlus may revise these Terms from time to time to reflect:

  • changes in applicable law;
  • improvements to the Services;
  • new features;
  • security requirements;
  • operational requirements.

Updated Terms will be published on our website together with a revised Last Updated date.

Where required by applicable law or where material changes significantly affect Customer rights or obligations, we will make reasonable efforts to notify Customers through the Services, email, or other appropriate communication channels.

Continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.


36. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable law, the courts located in Jalna, Maharashtra, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

Nothing in these Terms limits the right of either party to seek interim or injunctive relief from any court of competent jurisdiction where necessary to protect its legal rights or intellectual property.


37. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

The invalid provision shall, to the extent possible, be interpreted in a manner that most closely reflects the original intent of the parties while remaining legally enforceable.


38. Waiver

Failure by VaidyaPlus to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights under these Terms.

Any waiver shall be effective only if made in writing by an authorized representative of VaidyaPlus.


39. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between the Customer and VAIDYA PLUS (OPC) PRIVATE LIMITED regarding the use of the Services.

These Terms supersede all prior discussions, understandings, representations, or agreements relating to the Services.
